1. Acceptance of Terms
These Terms of Service ("Terms") form a binding agreement between you (as a Publisher, Advertiser, or other authorised user of the SkyDome platform) and SkyL4rk (Pty) Ltd, trading as SkyDome AdNetwork ("SkyDome", "we", "us"). By creating an account, integrating the SkyDome SDK, submitting a campaign, or otherwise accessing skydome.co.za or dashboard.skydome.co.za, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, in which case "you" refers to that entity.
2. Description of Service
SkyDome is a mobile advertising network that enables Publishers to monetise their mobile applications by displaying ad creative supplied by Advertisers. The Service includes the SkyDome dashboard, APIs, SDK, ad-serving infrastructure, and associated reporting and billing tools.
3. Accounts & Eligibility
- You must be at least 18 years old and have the legal capacity to enter into a binding contract to register an account.
- You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
- You must promptly notify us of any unauthorised use of your account or any other breach of security.
- Accounts are role-based: Administrator accounts (SkyL4rk personnel) have full platform visibility; User accounts (Publishers/Advertisers) are restricted to their own data.
4. Publisher Terms
4.1 App Registration & SDK Integration
Publishers must register each mobile application intended to display SkyDome ads and integrate the SkyDome SDK or API in accordance with our technical documentation. Publishers are responsible for the accuracy of submitted app metadata (app name, package name, category) and for keeping their integration secret confidential.
4.2 Traffic Quality
Publishers must not generate, encourage, or permit artificial, fraudulent, or incentivised impressions or clicks, including via bots, emulators, click farms, or auto-refresh mechanisms. SkyDome monitors for invalid traffic and reserves the right to withhold payment for, or claw back payment already made in respect of, invalid activity.
4.3 App Content Standards
Publisher Apps must not contain content that is illegal, sexually explicit, promotes violence or hatred, infringes third-party rights, or is otherwise unsuitable for a general advertising audience, as reasonably determined by SkyDome.
4.4 Publisher Payments
Publisher revenue is calculated based on validated impressions and/or clicks delivered, at the applicable rate card in effect at the time of delivery (see our Pricing & Rate Cards). Payment terms are as agreed at onboarding and set out in the dashboard.
5. Advertiser Terms
5.1 Campaign Submission
Advertisers submit ad creative, targeting parameters, budgets, and flight dates via the dashboard. SkyDome reviews submitted creative for compliance with Section 7 (Prohibited Uses) before activation and reserves the right to reject or remove non-compliant creative at any time.
5.2 Campaign Delivery
SkyDome uses commercially reasonable efforts to deliver campaigns in line with submitted budgets, flight dates, and targeting, but does not guarantee a specific volume of impressions or clicks unless expressly agreed in writing.
5.3 Advertiser Billing
Advertisers are billed based on the pricing model selected for each campaign (CPM, CPC, CPA, or Flat Rate) and validated delivery data recorded by SkyDome's ad-serving systems, which is the authoritative source of record for billing purposes absent manifest error.
6. Pricing & Payment
Current rate cards are published in the dashboard's Pricing section and may vary by ad format, dimension, and tier. SkyDome may update pricing prospectively; changes will not affect campaigns or payout periods already in progress. All fees are exclusive of applicable taxes unless stated otherwise. Invoices are payable within the payment terms specified for your account (default Net 30, unless otherwise agreed).
7. Prohibited Uses & Ad Content
You may not use SkyDome to submit, serve, or host creative or app content that:
- Is unlawful, deceptive, or misleading (including fake system alerts, fake download buttons, or disguised ad units);
- Contains malware, spyware, or any code designed to redirect, hijack, or damage a device;
- Infringes intellectual property, privacy, or publicity rights of any third party;
- Promotes illegal goods or services, weapons, or content exploiting minors;
- Engages in click fraud, impression fraud, or artificially inflates engagement metrics;
- Attempts to circumvent SkyDome's ad-serving, tracking, or billing systems.
8. Intellectual Property
SkyDome retains all rights in the SkyDome platform, SDK, APIs, dashboard, and underlying software. Advertisers retain ownership of their submitted creative and grant SkyDome a limited licence to host, reproduce, and display that creative solely for the purpose of operating the Service. Publishers retain ownership of their apps and grant SkyDome a limited licence to serve ads within designated ad slots via the SDK.
9. Data & Privacy
Our collection and use of personal information in connection with the Service is described in our Privacy Policy, which is incorporated into these Terms by reference. Publishers are responsible for ensuring their own end-user-facing privacy disclosures accurately reflect their use of the SkyDome SDK.
10. Service Availability
SkyDome's uptime commitments, support response targets, and maintenance procedures are set out in our Service Level Agreement, which is incorporated into these Terms by reference. We may modify, suspend, or discontinue any part of the Service with reasonable notice, except where urgent action is required for security or legal reasons.
11. Suspension & Termination
- You may close your account at any time via the dashboard or by written request.
- We may suspend or terminate your account immediately for material breach of these Terms, including violations of Section 7, non-payment, or fraudulent activity.
- We may terminate for convenience with 30 days' written notice.
- On termination, outstanding payment obligations (owed to or by you) remain due, and we will make reasonable efforts to provide a final data export where technically feasible.
12. Limitation of Liability
To the maximum extent permitted by law, SkyDome and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Service. SkyDome's total aggregate liability for any claim arising out of or relating to these Terms shall not exceed the total fees paid or payable by you to SkyDome in the six (6) months preceding the event giving rise to the claim.
13. Indemnification
You agree to indemnify and hold harmless SkyDome and SkyL4rk (Pty) Ltd from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your breach of these Terms, your Publisher App content, your Advertiser creative, or your violation of applicable law.
14. Governing Law & Disputes
These Terms are governed by the laws of the Republic of South Africa, without regard to conflict-of-law principles. The parties agree to first attempt to resolve any dispute through good-faith negotiation; failing resolution within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts of KwaZulu-Natal, South Africa.
15. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified via the dashboard or by email at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
